About this Role
We are looking for a Senior Technology Transactions Associate with 4, 8+ years of experience to own commercial contracts work for venture-backed, high-growth technology clients while supporting IP/commercial workstreams of M&A and venture financing deals. This is a senior, largely autonomous seat where you'll work directly with founders and general counsel, carry real client ownership, and join a lean team with a clear path to partnership.
What you need
- 4, 8+ years of experience at a large/top-tier firm (Wilson Sonsini, Cooley, Fenwick, Latham, Gunderson Dettmer or similar)
- Can have in house experience as long as they have 4+ years at a large firm before
- Primary focus on negotiating commercial contracts (SaaS, licensing, technology transactions)
- Experience assisting with IP/commercial aspects of M&A and venture financings
- J.D. From a top law school; admitted to practice in California (preferred)
- Privacy experience is a strong plus
What will you be doing (Illustrative)?
Draft, review, and negotiate commercial and technology agreements (SaaS, cloud, licensing, reseller/channel agreements)
Support IP and commercial workstreams of M&A transactions and venture financings
Negotiate vendor, procurement, and enterprise customer contracts on behalf of client companies
Advise on data privacy and security terms within commercial agreements
Serve as a direct, trusted advisor to founders and in-house counsel on day-to-day commercial matters
